Mr. Chairman, I have an amendment at the desk. The CHAIR. The Clerk will designate the amendment. The text of the amendment is as follows: Page 3, line 21, insert after ``emerging growth company'' the following: ``and except as provided in paragraph (3)''. Page 5, after line 2, insert the following: ``(3) Exception.--An issuer is not required to disclose information pursuant to paragraph (2) if such information is not material.''. Page 5, line 3, strike ``(3)'' and insert ``(4)''. The CHAIR. Pursuant to House Resolution 629, the gentleman from Arkansas (Mr. Hill) and a Member opposed each will control 5 minutes.
